PARLIAMENT TO HONOUR DR. JOHN MAGUFULI'S LEGACY


The Parliamentary budget marathon kicks off in Dodoma today with Members of Parliament scheduled to discuss and pass a resolution to recognise the valuable contribution of Tanzania's fifth President, Dr. John Magufuli and his outstanding service.

The Legislators will also pass a resolution to congratulate Ms. Samia Suluhu Hassan for being sworn-in as the sixth President.

A statement issued yesterday by the Parliament said the MP's will also receive the Third Five-Year National Development Plan (2021/2022 to 2025/2026) and endorse the Government budget for the 2021/2022 financial year.

The three-month session is expected to end before 30 June 2021 to pave way for the start of the new financial year.

According to the budget framework, the Government plans to spend TShs. 36.26 trillion in the 2021/2022 fiscal year, up from TShs. 34.88 trillion approved for the 2020/2021 financial year.

LAUNCH OF THE E.A. CRUDE OIL PIPELINE SET FOR APRIL 2021

The launch of the East African Crude Oil Pipeline (EACOP) project has been deferred to next month, the Petroleum Authority of Uganda (PAU) has announced.

The much-awaited event which was initially scheduled for 22 March 2021, has been rescheduled to April 2021 following the death of former Tanzanian President, Dr. John Magufuli.

In a statement posted on its website, PAU hailed Dr. Magufuli's astute leadership which set a strong foundation for the EACOP project, with key milestones that included the signing of the Inter-Governmental Agreement (IGA) in 2017 and the initialing of the Tanzania Host Government Agreement (HGA) in 2020.

In October 2020, Tanzania sealed the HGA with TOTAL in implementing EACOP after protracted negotiations.

The Head of State made the decision shortly after receiving the audit report for the year 2019/2020 from the Controller and Auditor General, Charles Kichere at Chamwino State House in Dodoma.

President Samia said various reports have been spotting embezzlement of money at TPA but no strong measures have been taken to curb the loss of public funds at the ports.

THE CONTROLLER AND AUDITOR GENERAL REPORT EXHUMES MASSIVE IRREGULARITIES

 

The Controller and Auditor General (CAG) yesterday handed over 21 Annual General Audit Reports for 2019/2020 to President Samia Suluhu Hassan, detailing massive irregularities in the Central Government, Public Institutions and Local Government Authorities (LGA's).

According to the CAG, Charles Kichere, the financial irregularities occasioned loss of billions of shillings to the Government.

Mr. Kichere presented the reports ending 30 June 2020, covering general and performance audits to President Samia at Chamwino State House in Dodoma, as the newly-sworn in Head of State commenced her official duties.

This was President Samia's maiden public appearance in her official duties replacing the late President John Magufuli, who passed away suddenly on 17 March this year.

CLYDE & CO UPDATER - SECURING LAND AS COLLATERAL IN TANZANIA


In this article, we look at how land in Tanzania can be used as collateral by lenders. We also explore various options for registering third party interests in land, how such options operate and their effectiveness in securing lenders' interests.

Background

All land in Tanzania is public land vested in the President as a trustee on behalf of the people. Tanzanian citizens occupy public land through a right of occupancy. There are two categories of right of occupancy namely granted right of occupancy (GRO) and customary right of occupancy (CRO). A GRO is issued for general land that is surveyed as per the requirements of the urban planning authorities. A CRO is issued for village land by the village councils.

A GRO is subject to a term of occupation that does not exceed 99 years. On the other hand, the duration of a CRO may be for either an indefinite period, a definite period which does not exceed 99 years or for year to year or less as it may be determined by the village council.

Non-citizens and companies that are majority-owned by non-citizens (collectively referred to as Foreigners) cannot hold land under a GRO or a CRO as these are reserved for Tanzanian citizens. However, Foreigners can occupy general land either through a long term lease or a derivative right granted by the Tanzania Investment Centre. Foreigners cannot occupy village land either through a derivative right or a long term lease unless the village land is first converted into general land.

Land is commonly accepted by lenders as a form of collateral. This is in part due to the legal protections available to lenders when securing third party interests in land. We discuss below the various forms of securing third party interests in land.

Mortgage

A mortgage is the creation of an interest in a right of occupancy for securing the payment of money or the fulfilment of a condition. A mortgage deed must be registered with the Registrar of Titles to be effective. A mortgage created between a lender and a corporate body cannot be registered with the Registrar of Titles unless it has first been registered with the relevant registrar of that corporate body. For example, mortgages created by a company must first be registered with the Registrar of Companies (i.e. the Business Registrations and Licensing Agency) before they are registered with the Registrar of Titles.

Where the same property is mortgaged to several lenders, the mortgages must rank in priority according to the order in which they were registered unless the lenders enter into a security sharing agreement that would set out the ranking of the mortgages.

KENYA AIRWAYS REPORTS WORST EVER LOSS OF $330M


Kenya Airways (KQ) net loss has nearly tripled to Ksh36.2 billion (about $330 million), the worst ever in the history of the airline, on account of Covid-19 disruptions that led to a sharp decline in passenger numbers.

The loss, for the financial year ended December 2020, is 2.8 times more than the Ksh12.98 billion ($118 million) net loss it had posted a year earlier, and now deals a major blow to the recovery efforts of the national carrier.

KQ chairman Michael Joseph says the outlook still looks bleak and the airline will be seeking a right-sized network to match the prevailing demand.

“The Covid-19 global outbreak in 2020 was beyond anyone’s prediction and its impact on the industry is expected to continue affecting air travel demand for the next two to three years,” said Mr Joseph.

KQ’s loss, also the worst ever results in corporate Kenya, came on the back of strict Covid-19 control measures across the globe that crushed demand for air travel.

The airline says that passenger revenue dropped by 67.5 per cent to Ksh33.7 billion ($307 million) as passenger numbers reduced by 65.7 per cent to 1.8 million.

“Approximately 70 per cent of the total passengers carried in 2020 were flown during the first three months of the year, demonstrating the drop in demand as the global crisis deepened during the year,” said Mr Joseph.

Total income dipped by 58.9 per cent to Ksh52.8 billion ($481 million) underlining the impact of a sharp fall in passenger numbers as countries restricted movement to contain the spread of Covid-19.

The latest loss means that KQ has now gone for the eighth straight year without profits, extending its accumulated losses to Ksh128.76 billion ($1.2 billion).

EIGHT EAST AFRICAN FIRMS IN LIST OF CONTINENT’S MOST VALUABLE BRANDS


Kenya’s mobile phone operator Safaricom has topped the list of Africa’s most valuable brands by market capitalisation, with shareholder wealth peaking at a record high of $14.14 billion in February 2021.

According to a new monthly survey by analysts at AfricanFinancials Group, Safaricom, which is listed on the Nairobi Securities Exchange (NSE), floored West African corporate giants such as Dangote Cement ($9.1 billion), MTN Nigeria ($8.6 billion), BUA Cement (Nigeria, $5.92 billion) and Airtel Africa ($4.18 billion), which took the second, third, fourth and fifth positions respectively.

In a report titled Sub-Saharan Top 30 Equity Valuation, the analysts show that eight East African listed firms, largely from Kenya and Tanzania, made it to the list of sub-Saharan Africa’s most valuable brands.

Leading firms

The firms are Safaricom ($14.14 billion), Tanzanian Breweries ($1.38 billion), Equity Bank ($1.27 billion), East African Breweries Ltd ($1.19 billion), KCB ($1.13 billion), Vodacom Tanzania ($744 million), Tanzania Cigarette ($733 million) and Co-operative Bank ($689 million).

According to the report, dated March 8, 2021, Safaricom’s return on equity (ROE) for the 12-month period to February 2021 stood at 49.6 per cent, followed by Tanzanian Breweries (26 per cent), Tanzania Cigarette ( 24.7 per cent), Equity Bank (15.1 per cent), Co-operative Bank (14.9 per cent), East African Breweries Ltd (11 per cent), KCB (10.7 per cent) and Vodacom Tanzania (negative 0.1 per cent).

CLYDE & CO UPDATER - TANZANIA COMPANIES ACT: NEW DEADLINE TO SUBMIT BENEFICIAL OWNERS’ INFORMATION


On 12 February 2021, a notice on the extension period for submission of information of beneficial ownership was published through the Companies Notice* made under the Companies Act**. In this article, we discuss the concept of beneficial ownership and address the new timeline for filing information about beneficial owners.

Beneficial ownership

The concept of beneficial ownership in Tanzania company law was introduced in the Companies Act through amendment by the Finance Act No. 8 of 2020 (the Finance Act). A beneficial owner is a natural person who either owns, controls or is entitled to a substantial economic interest, whether directly or indirectly, over a company. A person who exercises significant control over another person related to a company is also considered as a beneficial owner.

The Finance Act has introduced several other changes to the Companies Act with regards to beneficial ownership, such as:
  • Submitting up-to-date records of the beneficial owners of a company to the Registrar of Companies (Registrar) when registering the Memorandum and Articles of Association
  • Including information about the beneficial owners in the register of members
  • Including records of beneficial owners in the company’s annual return.
Currently, no subsidiary legislations for the implementation of the beneficial ownership requirement have been published.

Extension period

Prior to the Notice, companies incorporated before 1 July 2020 were given six months from 1 July 2020 to submit beneficial ownership information to the Registrar, which made 1 January 2021 the initial deadline. The deadline has now been extended to 1 January 2022.

GLOBAL RECYCLING DAY CALLS ON US TO WORK TOGETHER FOR A WORLD WITHOUT WASTE

Dar es Salaam, Thursday 18 March 2021 - Along with its devastating human and economic costs, the COVID-19 pandemic has put renewed focus on sustainability. The experience of mass human vulnerability to the accidents of nature has reminded us of the need to live in harmony with the natural environment if we are to survive as a species.

As James Quincey, Coca-Cola CEO and Chairman, recently put it: “COVID-19 has highlighted the urgent need for collaborative, cross-sector solutions to climate change, plastic waste and other critical environmental and social issues. The crisis has shone a light on the interconnected nature of our world and the lessons we learn must be applied to help us emerge stronger and get to a more sustainable and inclusive economic future.”

The question, against the backdrop of the severe economic damage caused by the pandemic, is how social partners can work better together to build this future.

CRDB BANK NAMES FREDRICK SIWALE AS NEW MANAGING DIRECTOR FOR BURUNDI SUBSIDIARY


CRDB Bank has appointed Fredrick Siwale as the new Managing Director for its Burundi Subsidiary, as the lender targets entering the DRC market this year.

Siwale replaces Bruce Mwile, who has been promoted to Group Chief Operating Officer (COO), leading the Bank's group-wide operations. Mwile headed the subsidiary since 2012.

CRDB Bank Group CEO, Abdulmajid Nsekela said Siwale has a proven capability ranging back 17 years and will continue to strengthen the Burundi operations.

ZANTEL YAZINDUA KAMPENI YA ‘PASUA ANGA KI ZANTEL 4G’

Kampuni ya simu ya Zantel jana Machi 16, 2021 imezindua kampeni yake mpya ijulikanayo kama ‘Pasua Anga Ki Zantel 4G’ inayolenga kuwaelimisha wateja juu ya uhumimu wa mtandao wa 4G katika kujiletea maendeleo.

Uzinduzi huo umefanyika katika viwanja vya Kisonge mjini Unguja ambapo wananchi wameweza kushiriki na kujionea ni namna gani wanaweza kutumia mtandao wa 4G kwa manufaa ya kijamii na kiuchumi.

Kabla ya uzinduzi huo, Kampuni ya Zantel iliendesha mjadala ulijadili juu ya umuhimu wa mtandao wa 4G ambao uliruka kupitia televisheni ya ZBC.Mdahalo huo ulihusisha wadau mbalimbali kutoka Serikalini pamoja na wajasiriamali.

Uongozi wa Benki ya NMB katika picha ya pamoja na wafanyakazi waliotoka Benki ya Biashara ya China na kujiunga na Benki ya NMB, wakati wa hafla ya mapokezi yaliyofanyika Makao Makuu ya NMB Jijini Dar es Salaam.

Benki ya NMB imewapokea rasmi waliokuwa wafanyakazi wa Benki ya Biashara ya China (China Commercial Bank) ambayo umiliki wake ilikabidhiwa mwanzoni mwa mwezi huu na Benki Kuu ya Tanzania (BOT).

Wafanyakazi hao walipokelewa Makao Makuu ya NMB Jijini Dar es salaam na Uongozi na wafanyakazi wa benki hiyo. Akizungumza katika hafla ya mapokezi hayo Afisa Mtendaji Mkuu wa NMB – Bi. Ruth Zaipuna alisema, ni Furaha kwao kama benki kuongeza ukubwa wa familia ya NMB na ametumia nafasi hiyo kuwakaribisha rasmi kuwa wanafamilia.

Bi. Zaipuna aliwahakikishia wafanyakazi hao kuwa wapo sehemu salama, kwani NMB ndio benki kubwa zaidi Tanzania kwa mtaji, mizania, faida, mtandao wa matawi na suluhishi za kibenki kwa wateja wao, huku wakiwa na matawi 226 nchini takribani katika wilaya zote, zaidi ya mawakala 8,000, zaidi ya mashine 700 za kutolea fedha (ATM) huku wakiwa na wateja zaidi ya milioni nne na wafanyakazi 3,400.

Bila kusahau kuwa NMB imekuwa ikishinda tuzo mbalimbali ikiwemo ya umahiri ya Euromoney kama “Benki Bora zaidi Tanzania” kwa miaka 8 mfululizo kuanzia mwaka 2013 hadi 2020. Benki hiyo pia ilipata tuzo ya Benki Salama zaidi Tanzania kutoka Jarida la Global Finance la nchini Marekani.

Dar es Salaam Wednesday 10 March 2021 - Following World Women's Day, which is celebrated on the 8th of March every year, United Bank for Africa - Tanzania LTD (UBA) had a dialogue discussion with members of staff, customers and Tanzania at large (via media) on various strategies that will help families maintain a normal work life balance.

Speaking in Dar es Salaam today during a panel discussion which marked International Women Day for Bank for Africa (UBA) Tanzania with theme Gender Work Life balance, the banks Head of Marketing and Corporate Communications, Brendansia Kileo said in maintaining a balance of social and working life they decided to have their male colleagues air out their perception/ opinions and views on the topic and share various initiatives used to support women in attaining the desired balance.

"We have included men to be able to get the ideas they are thinking of in partnership and to support women so that they can fulfil their dreams and responsibilities when they are at home and at work."
