Mahiga kwa hatua kubwa iliyofikiwa kwenye ujenzi huo.

Katibu Mkuu wa Wizara ya Katiba na Sheria, Prof. Sifuni Mchome akitoa maelezo mafupi kwa Mhe. Prof. Palamagamba Kabudi, Waziri wa Mambo ya Nje na Ushirikiano wa Afrika Mashariki na Mhe. Dkt. Mhe. Prof. Kabudi akisaini kitabu cha wageni na kutoa maoni yake kuhusu maendeleao ya ujenzi wa ofisi hizo.

BOEING'S MARKET VALUE HAS PLUNGED BY $40 BILLION FROM ITS 2019 PEAK (BA)

Sunday's crash of a Boeing 737 Max 8 aircraft operated by Ethiopian Airlines continued to pressure Boeing's stock Tuesday, with shares trading down more than 5%. That follows a drop of 5.3% on Monday.

And while the two days of selling have wiped out $26 billion of market value, Boeing shares have been under pressure all month. The stock topped out at $446.39 on March 1, and was under pressure even before Sunday's disaster. It's now down more than 17% from its 2019 peak — a drop of $40 billion in market value.

But the recent selling has been unable to sway Wall Street analysts, who remain largely bullish on Boeing shares. Among the analysts surveyed by Bloomberg, 21 had a "buy" rating while only 2 had "sell."

In a note published on February 27, Morgan Stanley raised its price target to $500, representing an increase of 17% at the time. "We see continued upward momentum in BA shares," wrote Morgan Stanley analyst Rajeev Lalwani. "In fact, we see a clear path to $500 given broadly higher market multiples alongside a potential order boost from China trade resolution."

TRUMP EXTENDS U.S. SANCTIONS AGAINST ZIMBABWE BY A YEAR

WASHINGTON (Reuters) - U.S. President Donald Trump on Monday extended by one year sanctions against Zimbabwe saying that the new government’s policies continue to pose an “unusual and extraordinary” threat to U.S. foreign policy.

The renewal comes despite calls by African leaders, including South Africa’s President Cyril Ramaphosa, for the sanctions to be lifted to give the country a chance to recover from its economic crisis.


“The actions and policies of these persons continue to pose an unusual and extraordinary threat to the foreign policy of the United States,” Trump said in a notice announcing the extension, adding: “I am continuing for (one) year the national emergency declared in Executive Order 13288.”

1. Changes to the Mining Act 2010

Parliament passed the Written Laws (Miscellaneous Amendments) (No.2) Bill of 2019 (the Mining Act Amendment Bill) on 9 February 2019 and we understand that it is currently awaiting the President's assent. When the Mining Act Amendment Bill receives this assent, a number of changes will be made to the provisions of the Mining Act 2010 (the Mining Act).

2. Changes to mining-related regulations

Tanzania's Minister of Minerals has the power to create regulations under different Acts of Parliament, such as under the Mining Act and the Tanzania Extractive Industries (Transparency and Accountability) Act 2015 (the TEITI Act). Pursuant to this power, the Minister has created the following new regulations under the Mining Act and the TEITI Act:

CLYDE & CO UPDATER - THE ISSUE OF CORPORATE GUARANTEES TO FOREIGN ENTITIES

In this month’s legal briefing we focus on the issue of corporate guarantees by Tanzanian entities to foreign entities.

The essential elements of a valid and enforceable corporate guarantee

In transactions where the principal debtor is a subsidiary company or part of a group of companies, most creditors would prefer that a corporate guarantee be issued by the parent company or any other related company as part of the security to be furnished by the principal debtor. By issuing a corporate guarantee the parent company or any other related company, otherwise known as the guarantor, is providing assurance to the creditor that should the principal debtor default in its obligations (e.g. under a loan agreement) the guarantor will be called upon to honour the guarantee.

In Tanzania, a corporate guarantee (or any contract of guarantee), like every other contract, must satisfy all the essential elements of a valid contract, e.g. genuine consent, legality of object, competency of parties, etc. A corporate guarantee should also be supported by some consideration. No direct consideration is needed between the guarantor and the creditor, as the consideration received by the principal debtor is sufficient for the guarantor.

Furthermore, the ability of a Tanzanian company to guarantee the repayment obligations of another company is subject to the following:

1. the powers of the company as set out in its memorandum and articles of association (that is, whether it has a specific power to guarantee the repayment obligations of other companies or a general power to do business which is broadly enough drafted to cover such an act); and
2. the requirements for the directors to act in good faith and in the best interest of the company issuing the guarantee (the corporate benefit requirement).

EQUATORIAL GUINEA TO HOST AFRICAN DEVELOPMENT BANK’S 2019 ANNUAL MEETINGS IN MALABO

Equatorial Guinea will host the African Development Bank’s next Annual Meetings in June 2019, following the signing of a memorandum of understanding between the two parties. The Annual Meetings will take place from 11th to 14th June, 2019 in the country’s capital city, Malabo.

“The Government and people of Equatorial Guinea are ready and look forward to hosting the African Development Bank’s flagship event in 2019,” said Mr. Bernardo Abaga Ndong, general coordinator of the National Technical Committee in charge of the Annual Meetings.

“We are determined to make the Annual Meetings in our country a most resounding success that will definitely bolster our national prestige, because an event with over 3,000 participants is not a small affair,” Ndong emphasised. An aide-memoire on the country’s preparedness to host the event was signed on 27th February 2019. The signing took place on the sidelines of regional consultative meetings between the Bank and its African shareholders, held in Abidjan from 25th February to 1st March, 2019, and attended by Equatorial Guinea’s finance minister Lucas Abaga Nchama.

Speaking at the signing, André Basse, the African Development Bank’s Chief of protocol, who signed on behalf of the Bank, commended the host country for its commitment to the success of the Annual Meetings, returning this year to African soil after being held in Korea and India respectively.

TAPPING INTO CONTINENTAL FREE TRADE AREA OPPORTUNITIES

The Extraordinary Summit on the African Continental Free Trade Area (AfCTFA) that took place in Kigali, Rwanda last year brought together African leaders during which the agreement for establishing the free trade area was presented for signatures. The agreement was signed by 44 of the 55 African Union (AU) member states adding another 5 during the AU summit in Mauritania in June bringing the total number of committed countries to 49 by the end of July 2018. The Continental Free Trade Area (CTFA), will unleash Africa’s potential assembling a population of 1.2 billion people, with a GDP of $3.4 trillion as the world’s largest free trade area since the inception of the World Trade Organisation (WTO).

To leverage on the CFTA cross border opportunities, Africa will require strategic infrastructure; both physical and financial. Physical infrastructure includes transportation networks such as rail, road and power that underpin the economic growth potential and financial infrastructure comprising of institutions that will enable effective operations and empower Africa to unlock and tap into the opportunities underlined by the agreement.

Tanzania is known as the trade gateway for the neighbouring land locked countries through the port in Dar es Salaam. According to the Ministry of Trade, the port handles 60% of Rwanda’s exports and imports. Zambia, Malawi, Uganda, Burundi and the Eastern region of the Democratic Republic of Congo (DRC) all depend on the port of Dar es Salaam. Tanzania has commenced review of its policies to spur cross border trade in anticipation of the CFTA. In a statement issued by the State House of Tanzania, President Kagame congratulated President Magufuli for the notable improvements that include a reduction in transit time between Dar to Kigali from 10 days to between 3-6 days and the reduced road toll charges from $500 to $152 per truck between Rwanda and Tanzania to ease cross border transit. Development and harmonization of key infrastructure will catalyse cross border trade and enable Africa’s economic growth.

Last year, President Paul Kagame and President John Pombe Magufuli inaugurated the construction of the 400-kilometre Standard Gauge Railway (SGR) from Isaka to Kigali connecting Rwanda to Dar es Salaam. The railway will enhance trade activity between the two countries improving the Cairo to Cape Town infrastructure that will support the aspirations of the CFTA.

At the Extraordinary Summit of the (AU) in March 2018, former Nigerian President, Olusegun Obasanjo said “African’s economic salvation lies in the CFTA”. In addition to developing the transport networks, responsive financial solutions catered for Africa require financial institutions with a bespoke understanding of the dynamic continent.
