CRDB Bank Plc – The bank that listens – has announced a vacancy for the position of Independent Non-Executive Director, inviting applications from suitably qualified and experienced professionals.

About CRDB Bank Plc

CRDB Bank Plc is a leading commercial bank in Tanzania. Established in 1996, the Bank has grown steadily over the years to become one of the most innovative and trusted financial institutions in the country.

The Bank reached a significant milestone when it was listed on the Dar es Salaam Stock Exchange on 17 June 2009.

CRDB Bank Plc owns four subsidiary companies:

  • CRDB Bank Burundi S.A.
  • CRDB Insurance Company Limited
  • CRDB Bank DR Congo S.A.
  • CRDB Bank Foundation

Additionally, the Bank operates a representative office in the United Arab Emirates (UAE–Dubai).


Position: Independent Non-Executive Director

The Board of Directors is seeking to fill one (1) position of Independent Non-Executive Director.

Definition of an Independent Director

An “Independent Director” is defined as a director who:

  • Does not hold any executive or management position in the Bank.
  • Does not have, directly or indirectly, a significant interest in the Bank, including any parent or subsidiary in a consolidated group. (Significant interest refers to holding 5% or more of the voting shares of the Bank).
  • Has not been employed by the Bank or its subsidiaries in an executive capacity within the preceding three (3) years.
  • Is not a family member of an individual who is, or has been in the past three years, employed by the Bank or its subsidiaries in an executive capacity.
  • Is not a professional advisor to the Bank or its subsidiaries.
  • Is free from any business or other relationship that may interfere with independent judgment.
  • Does not receive remuneration contingent upon the Bank’s performance as defined in the Banking and Financial Institutions (Internal Control and Internal Audit) Regulations, 2014.

The name of the qualified candidate will be submitted to the Annual General Meeting (AGM) for appointment. Applicants are advised to refer to the CRDB Bank Plc Memorandum and Articles of Association (MEMARTS) for further details.


Expertise and Knowledge Requirements

In line with Section 5(2) of the Banking and Financial Institutions Act (Corporate Governance) Regulations, 2021, candidates must possess expertise and knowledge in one or more of the following fields:

  • Banking
  • Finance
  • Accounting
  • Auditing
  • Law
  • Economics


Desired Skills

Considering current market practices, technological advancement, and growth in digital banking, the following skills are highly desirable:

  • Mergers and Acquisitions
  • IT Systems and Data Science
  • Cyber Security
  • Trade and Project Finance
  • Engineering
  • Human Capital Management


Key Roles of the Board of Directors

The successful candidate will contribute to the Board’s responsibilities, which include:

  1. Determining the Bank’s vision, mission, and values to ensure continuity and legal existence.
  2. Monitoring and evaluating the Bank’s strategy to achieve its vision and ensure sustainable growth.
  3. Governing the Bank through broad policies and objectives agreed with Management, ensuring that:
    • Procedures and practices protect the Bank’s assets and reputation.
    • The Bank complies with all relevant laws, regulations, and codes of best practice.
    • Technology and systems are adequate to support competitiveness and operational efficiency.
  4. Monitoring risk identification and risk management to enhance long-term shareholder value.
  5. Selecting and appointing the Managing Director, and regularly reviewing and evaluating their performance.

  • Two passport-size photographs
  • Certified copy of the last page of their passport
  • Three letters of recommendation
  • Declaration of indebtedness to banks
